OmaHäme and Hämeenlinna, real estate transaction advisory

The agreements between Oma Häme (Kanta-Häme well being region) and the City of Hämeenlinna were signed on 26.9.2024 in Hämeenlinna. Oma Häme and the City of Hämeenlinna will transfer properties to each other. CAPEX Advisors acted as joint advisor to the parties in the preparation of the real estate transaction.

Under the agreement, the Ahvenisto hospital area and its buildings will become the property of the City of Hämeenlinna, but Oma Häme will continue to be a tenant in the hospital area for a limited period. Similarly, Oma Häme will acquire ownership of the Viipurintie health centre, the Kutalantien fire station, the Voutila Centre and the Uppsala House.

The aim of the arrangement is to secure social and health services for the population of the Hämeenlinna city centre and to reduce the premises costs for both parties. Under the agreement, the sale price of the Ahvenisto Central Hospital site is €63 million and the sale price of the four sites of the City of Hämeenlinna is approximately €34 million. The City of Hämeenlinna will pay an interim payment of just under EUR 29 million to Oma Hämee. Once the contract is signed, Oma Häme will lease the buildings in the hospital area until the end of 2026, at a rent of around €6.5 million per year. Some of the facilities, such as the emergency room and the Ahvenisto building, will remain at Oma Häme’s disposal until 2045.

The letter of intent was signed in early spring 2024. CAPEX Advisors acted as advisor to the parties in the spring of 2024 in the further preparation of the transaction, after which the arrangement was approved by the decision-making bodies of Oma Häme and Hämeenlinna in summer 2024. During the preparation of the real estate transaction, CAPEX Advisors’ tasks included securing the financial equation, assessing and verifying the commercial principles of the arrangement, coordinating the external real estate valuation and supporting the lease and deed negotiations as joint financial expert of the parties.
